Please read these Terms and Conditions carefully. By engaging BreederStack (“we,” “our,” “us”) to build, automate, or manage your digital infrastructure, you (“Client,” “Breeder”) agree to be bound by the following legally binding terms.
1. Scope of Services & The BreederStack System
BreederStack does not sell “basic websites”. We provide high-end, automated infrastructure designed to increase puppy sales and reduce manual workload. Our deliverables typically consist of a Setup Phase (building the Programmatic SEO architecture and the Airtable/Make automation middleware ) and an ongoing Maintenance/Licensing Phase.
2. Intellectual Property & Asset Ownership
Our infrastructure relies on proprietary automation flows and dynamic database configurations. Ownership of assets upon cancellation is strictly governed by the duration of the active contract:
- Cancellation Before 90 Days (< 3 Months): If the Client cancels the agreement within the first 90 days, the Client retains ownership of the custom Domain Name ONLY. The website files, design, and infrastructure remain the exclusive property of BreederStack.
- Cancellation After 90 Days (> 3 Months): If the Client cancels after 90 days of continuous, paid service, the Client retains ownership of the Domain Name and the WordPress Website front-end (including the WP Grid Builder setup).
- Proprietary Technology (Never Transferred): At no point, regardless of contract length, does the Client gain ownership of the proprietary Make (formerly Integromat) automation workflows, the custom Airtable database structures, or the programmatic SEO generation scripts. These are licensed strictly as Software as a Service while the Client retains our ongoing services.
3. Payment Terms & Zero-Refund Policy
Due to the intensive technical labor, programmatic coding, and third-party API configurations required to initiate the BreederStack system, we operate a strict zero-refund policy. All Setup Fees and ongoing Monthly Retainers are final and non-refundable. Failure to process monthly payments will result in the immediate suspension of automation flows and website hosting.
4. Disclaimer of Guarantees (SEO & Sales)
While our “Hyper-Local Domination System” is designed to dominate high-intent keywords and generate organic traffic, search engine algorithms (e.g., Google) are dynamic, third-party entities entirely beyond our control. Therefore, BreederStack explicitly makes no guarantees regarding exact keyword rankings, specific traffic volumes, or a guaranteed number of puppy sales. We implement data-driven SEO; however, results fluctuate based on market conditions and external algorithm updates.
5. Client Responsibilities & Project Delays
The success of the automation middleware requires the Breeder to populate their initial inventory. BreederStack provides a 10-day courtesy window from the delivery of the Airtable access to upload initial content. After this period, the recurring Monthly Maintenance fee will commence automatically, regardless of whether the Client has completed their data entry, to ensure server and infrastructure availability.
6. Governing Law & Jurisdiction
BreederStack operates internationally but is headquartered in Spain. These Terms and Conditions, and any separate agreements whereby we provide you Services, shall be governed by and construed in accordance with the laws of Spain. Any legal disputes, claims, or controversies arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts located in Spain.
